Property Listing - Terms and Conditions:
Homestay Advisor Private Limited, a company registered under the Companies Act, 1956, with its principal office
at #308, 3rd Cross, 5th Main, Sadandanagara, NGEF layout, Bangalore, Karnataka - 560038 (hereinafter referred
to as HA/ Facilitator) including its successors and permitted assigns thereof as first party; The Hotel, as detailed in Annexure 1 as the second party.
Facilitator and Hotel are individually referred to as Party and collectively as Parties.
PREAMBLE:
A. The Facilitator is engaged in the business of making available travel and tourism related services to its end
customers.
B. The Hotel is in the business of providing accommodation services and has represented to Facilitator that it has the
necessary legal, technical, and business setup to procure the facilitation services as defined in this Agreement.
C. The Facilitator and the Hotel desire to enter into this Agreement to bind themselves with their mutual obligations as
prescribed hereunder.
NOW THEREFORE THE PARTIES HERETO AGREE TO THIS AGREEMENT TERMS AS FOLLOWS:
1. SCOPE OF SERVICES
1.1. The Hotel will provide to the Facilitator such information with respect to the availability of rooms, the services and
amenities, and the Sell Rate on a direct connection (API Linking), or through any other mode as may be decided
between the Parties.
1.2. The Facilitator may then host the availability of the Hotel rooms on the website and the other online and offline sales
channels (including mobile applications or browsers, branch offices, b2b partners etc.) of the Facilitator and its
Affiliates.
1.3. The Facilitator would be rendering services in the capacity of an intermediary, in the fiduciary capacity, arranging
booking of the hotel accommodation services between Hotel and customers. Accordingly, only Hotel shall be
responsible for provision of services to the customers booking the Hotel room through Facilitator.
2. COMMERCIAL TERMS
2.1. SELL RATE
2.1.1. Sell Rate is the rate notified by Hotel to the Facilitator as the listing price of the Hotel room including any applicable
government taxes and Goods and Services Tax (GST) unless otherwise stated, at which the customer would confirm
the room through Facilitator.
2.1.2. Facilitator shall not alter the Sell Rate notified by Hotel.
2.1.3. Unless explicitly provided otherwise in this Agreement, the Facilitator shall provide customer reservations at the Sell
Rate (subject to any promotional scheme under clause 2.2).
2.2. Promotional Schemes
The Facilitator may, at its sole discretion, offer certain promotions to the customers, except on any specific dates duly
informed by Hotel to the Facilitator at least 5 (five) working days in advance.
2.3. Commission/Service Fee
2.3.1. The Hotel agrees to pay certain Commission to the Facilitator on all bookings made by customers through the
platform of the Facilitator. The Commission payable by the Hotel to the Facilitator shall always be calculated as a
percentage of the Sell Rate or as mutually agreed between the Parties. The amount of Commission paid by the Hotel
shall be mutually discussed and agreed between the Parties over email. Any promotional offers of the Facilitator shall
not be reduced from the Sell Rate for the purpose of calculation of Commission.
2.3.2. The Commission shall be paid as a separate payment to Facilitator or may be set-off from payment collected from
the customer, as may be decided by the Parties. The remaining amount shall be remitted to the Hotel in the format
mutually agreed between the Parties.
